In compliance with the Sarbanes-Oxley law and for the second time, Deloitte certifies ADP’s service quality resulting from its excellent internal control processes that provide customers with maximum investment security
February 20th 2006 - Neu-Isenburg - Germany

Automatic Data Processing, Inc. (ADP) has received certification from Deloitte Touche Tomahatsu auditors for the second time and unconditionally that the company is delivering excellent process execution and high quality of service in compliance with the Sarbanes-Oxley law. Part of the verification were the requisites formulated under section 404 of that law with regard to the internal control process and its efficiency for ADP’s own financial reporting as well that of its clients. ADP subsidiaries in eight European countries were involved in the establishment of the yearly report, including ADP Employer Services GmbH. It describes functioning and mode of operation of the internal control process and delivers comprehensive test results. Certain ADP clients who are also audited in compliance with the Sarbanes-Oxley law and who have to deliver evidence of their external service providers’ compliance can make use of the results.

As a company listed on a US stock exchange, ADP is obliged to comply with the conditions of the Sarbanes-Oxley Act passed in 2002. Says Andreas Kiefer, Head of ADP Employer Services in Germany. This renews confirmation that our internal control process is in perfect compliance with Serbanes Oxley’s financial reporting criteria; once again, we offer our clients an essential element for their investment security.” Between August and November 2005, Deloitte’s auditors investigated the internal control processes of ADP Germany, France, Great Britain, Ireland, Italy, Portugal, Switzerland and Spain to verify functionality and legal compliance. Everywhere, the results were faultless. This proof of ADP’s service quality benefits all European subsidiaries of companies that are publicly listed in the US.

The Sarbanes-Oxley Act
The US Sarbanes-Oxley law passed in 2002 is intended to ensure that companies listed on US stock exchanges comply with certain mandatory conditions. In particular, those companies have to submit a yearly report relating to internal control processes governing their financial reporting. Any company using external service providers has to deliver a complementary report concerning the outsourced services that details the character, pertinence and the effectiveness of all control processes. Compliance with the requisites of the Sarbanes-Oxley law delivers to investors and clients fulfillment of essential criteria for investment protection.
